MARK R. GOLDSTON Chairman, President and Chief Executive Officer MARK R. GOLDSTON is the Chairman, President and Chief Executive Officer of United Online. Prior to the formation of United Online, from March 1999 until September 2001, Mr. Goldston served as Chairman, President and CEO of NetZero, the company that merged with Juno Online Services to form United Online. Prior to joining NetZero, Mr. Goldston was Chairman and Chief Executive Officer of The Goldston Group, a strategic advisory firm, from December 1997 to March 1999. From April 1996 to December 1997, he was President, Chief Executive Officer and a director of Einstein/Noah Bagel Corp. after founding and serving his initial term with The Goldston Group from June 1994 to April 1996. Mr. Goldston also served as President and Chief Operating Officer of L.A. Gear from September 1991 to June 1994 and as a principal of Odyssey Partners, L.P., a private equity/LBO firm, from September 1989 to September 1991. Before joining Odyssey Partners, L.P., Mr. Goldston held various executive positions including Chief Marketing Officer of Reebok, President of Faberge USA, Inc. and Vice President of Marketing Worldwide for fragrance and skincare at Revlon, Inc. Mr. Goldston is the author of The Turnaround Prescription, a highly-regarded business book published in 1992 and is the named inventor on 13 separate U.S. patents on products such as inflatable pump athletic shoes and lighted footwear. Mr. Goldston received his B.S.B.A. in Marketing and Finance from Ohio State University and his M.B.A. (M.M.) from the J.L. Kellogg School at Northwestern University. He serves on the Dean's Advisory Board of the J.L. Kellogg School, the Dean's Advisory Board of the Ohio State University Fisher School of Business and the Cedars-Sinai Hospital Board of Governors in Los Angeles. |

NEIL P. EDWARDS Executive Vice President and Chief Financial Officer Neil P. Edwards is the Executive Vice President and Chief Financial Officer of United Online. Before his appointment to that position in October 2011, Mr. Edwards served as the Company's Senior Vice President, Finance, Treasurer and Chief Accounting Officer since September 2001. Prior to that, he served as Vice President, Finance of NetZero, Inc. since December 1999. In addition, Mr. Edwards served as the Company's Interim Chief Financial Officer from June 2007 through September 2007, and as Acting Chief Financial Officer from February 2009 through May 2009 and from April 2011 through the date of his appointment as the Company's Executive Vice President and Chief Financial Officer. Before joining NetZero in 1999, Mr. Edwards was the Chief Financial Officer at Patagonia, Inc. During his career, he served as Corporate Controller at L.A. Gear, Inc. and Decora Industries, Inc. and as an Audit Senior Manager at Price Waterhouse. Mr. Edwards is a Certified Public Accountant and a Member of the Institute of Chartered Accountants in England and Wales. He began his career as a member of the audit staff with Moore Stephens & Co. in London and Los Angeles. |

PAUL E. JORDAN Executive Vice President, Chief Personnel Officer PAUL E. JORDAN is the Executive Vice President, Chief Personnel Officer of United Online. Prior to his promotion to that position in March 2007, Mr. Jordan served as United Online's Senior Vice President, Chief Personnel Officer from September 2001. Mr. Jordan joined NetZero as Vice President, Human Resources in July 1999. During his career, Mr. Jordan has led both generalist and specialist HR functions in the financial services, healthcare, radiopharmaceutical, restaurant and hospitality industries. Mr. Jordan holds a bachelor's degree in organizational communications from Brigham Young University. |

CHARLES B. AMMANN Executive Vice President, General Counsel and Secretary CHARLES B. AMMANN is the Executive Vice President, General Counsel and Secretary of United Online. Prior to his promotion to that position in August 2009, Mr. Ammann served as United Online's Senior Vice President and Deputy General Counsel. Before joining United Online in August 2006, Mr. Ammann served as Senior Vice President and Deputy General Counsel of Gemstar-TV Guide International, Inc. and was the Senior Vice President and General Counsel of publicly-traded TV Guide, Inc. from 1999 until its acquisition by Gemstar. From 1996 to 1999, Mr. Ammann served as the Senior Vice President and General Counsel, and oversaw the administrative operations, of publicly-traded United Video Satellite Group, Inc. From 1990 to 1996, Mr. Ammann held the position of Vice President of Administration and General Counsel of Flint Industries, Inc. Upon graduating from law school, Mr. Ammann was an attorney for one of Oklahoma's largest law firms, Gable & Gotwals, from 1980 to 1990, and was a Partner for the last five years with that firm. Mr. Ammann received his B.B.A. from the University of Notre Dame with a double major in Finance and Management, graduated magna cum laude, and was the recipient of the prestigious Hamilton Award for Management. He received his J.D. from the University of Oklahoma where he served as Editor of the Oklahoma Law Review, and his M.B.A. from The University of Tulsa. |

ROBERT S. APATOFF President, FTD Segment ROBERT S. APATOFF serves as President of United Online's FTD segment. Prior to joining United Online in 2008, Mr. Apatoff most recently served as Managing Director with Patriarch Partners, LLC, a private equity investment firm, where he was responsible for the management and development of Patriarch's consumer goods companies. Prior to that, he served as President and Chief Executive Officer of Rand McNally & Company where he engineered a financial turnaround and completed the successful sale of the company to Patriarch Partners, LLC in December 2007. Previously, Mr. Apatoff held key executive roles with several of America's leading corporations including serving as Senior Vice-President and Chief Marketing Officer at The Allstate Corporation, and in senior management and marketing roles at Aetna, Inc., L.A. Gear, Inc., Reebok International, Ltd. and Anheuser Busch, Inc. His diverse business and marketing experience includes the famous Anheuser Busch "Bud Bowl", the Spuds Mackenzie campaign for Budweiser, Allstate's Olympic efforts and "Good Hands" campaigns, and the launch of the Reebok Pump and L.A. Gear lighted shoes. Mr. Apatoff earned a B.A. in Business and Communications from DePauw University. |

ROBERT J. TARAGAN President, Communications Segment ROBERT J. TARAGAN is President of United Online's Communications Segment. Mr. Taragan joined NetZero in 2000 and served in a variety of executive leadership roles prior to being promoted to President of United Online's Communications segment in 2008. Earlier in his career, he spent 21 years at Nielsen Media Research, where he served in key management roles including Executive Vice President of Marketing and General Manager of Local Services. Highlights of Mr. Taragan's tenure at the company include maintaining operating responsibility for producing Nielsen TV ratings in all U.S. television markets, establishing the Nielsen Sports Marketing Service business, managing Nielsen's local market service during its victorious competitive battle with Arbitron, and implementing the rollout of the People Meter as a new data collection tool. He has been a featured speaker at many industry events, including the Broadcast & Cable Financial Management Executives annual conference, the Radio & Television Research Council, the Television Bureau of Advertising annual conference, the Advertising Research Foundation's Children's Workshop and the Electronic Media Workshop. In addition, Mr. Taragan has been a guest lecturer at C.W. Post College, Baruch College and UCLA. He earned a B.A. in Economics from Colgate University. |
